American Depositary Receipt (ADR) – Non-U.S. companies can access the U.S. market through an ADR. An ADR is generally treated as a U.S. security, quoted and traded in USD and are subject to the trading and settlement procedures of the market in which they trade. Trading venues include U.S. national stock exchanges and the OTC market.
Global Depositary Receipt (GDR) – Non-U.S. companies can access international markets, typically in Europe and generally made available to institutional investors both outside and within the U.S. It is usually offered to investors through a private offering or exemption from registration under the Securities Act of 1933.
